Constitution of the IFS

As adopted May 2026 by the founding members.

Name

The name of this organization shall be “The International Frege Society.” It may also be referred to as “the IFS.”

Aims

The aims of the IFS shall be:

  1. to promote scholarship on Gottlob Frege’s work
  2. to foster dialogue and collaboration about Frege’s work in the global community of scholars, regardless of background or discipline, and without prejudice or discrimination
  3. to preserve, curate, and expand access to scholarly materials related to Frege.

Membership

Membership in the IFS shall be open to all individuals who support its aims.

Instructions for joining the IFS shall be made available on the IFS website. The Executive Council may refuse an application, in which case the Council must notify the applicant within 30 days, stating why the application was turned down.

A member may be expelled for seriously interfering with the IFS’s aims.

Membership shall terminate when a member dies, is expelled, or notifies the Executive Council that they would like to resign.

Executive Council

General

The IFS shall have an Executive Council, responsible for IFS affairs and policy. The Executive Council shall consist of not less than five nor more than seven Councillors. Four Councillors constitute a quorum. Councillors shall be at least 18 years old, shall be members of the IFS, and shall have been members for at least one year, or from the time of the IFS’s founding.

Elections

When there will be an empty space on the Executive Council on January 1st of the year following a planned bi-annual meeting, members may nominate candidates, including themselves, for the Executive Council. Nominations must be communicated to the Executive Council thirty days before the bi-annual Meeting. Councillors shall be elected during the General Assembly at the bi-annual meeting.

Term of Office

Councillors shall have four-year terms that start on January 1 of the following year. Councillors may be reelected. If a Councillor dies, resigns, or loses his or her membership, the Executive Council may appoint a new Councillor for the unexpired term.

Secretary

The Executive Council shall elect a Secretary for a one-year term, starting on January 1st of the following year. The Secretary may be reelected. If the Secretary dies, resigns, or loses his or her membership, the Executive Council may fill the unexpired term with a new Secretary.

The Secretary shall:

  1. record the minutes of General Assembly and Executive Council meetings;
  2. handle Executive Council correspondence;
  3. prepare an Agenda for Executive Council Meetings
  4. maintain a file of documents, including minutes of meetings, reports, newsletters, correspondence;
  5. maintain a record of this Constitution.

Meetings

Bi-Annual Meetings

The IFS shall hold a bi-annual scholarly meeting, at a time and site determined by the Executive Council. The time should suit the convenience of as many members as possible. The site should be either (a) near locations of special interest to the IFS, or (b) near population centres having many members.

General Assembly

The Bi-Annual scholarly meeting shall include a General Assembly open to all members, at which elections for the Executive Council will take place. Members who cannot attend may vote remotely. An Agenda shall be prepared by the Executive Council. Members shall be notified about this Agenda, including any matters to be voted upon, at least a month in advance of the General Assembly meeting.

Executive Council Meetings

The Executive Council shall hold at least two Meetings a year, which may be in person or online.

Voting

All votes shall have equal value. Voting shall be open, unless any voter requests a closed vote. In contests of more than two choices, a plurality shall be sufficient. In the case of a tie, the vote is decided by lot.

Website

The Society shall maintain a website with IFS information, including this Constitution and instructions for applying for membership.

Amendments to this Constitution

This Constitution may be amended at a General Assembly Meeting by a vote. Amendments may be proposed either by the Executive Council, or by a petition bearing the signatures of at least five members, presented to the Executive Council thirty-one days before the Bi-Annual Meeting. Proposed amendments must be discussed at the General Assembly before voting.
